  1. Grant of Rights.
    Subject to the terms of this Agreement, TTR grants to Licensee a limited, non-exclusive, non-transferable, non-sub licensable, worldwide, perpetual right to reproduce in any and all forms of media now known or to be invented, the downloadable still image(s), the downloadable videos located on the Video Download Section and/or photos located on the Photo Download Section ("Licensed Material") . As such, Licensee shall be granted the right to access the video download and photo download section of the TTR website ("Download Sections") for the period of one year from the date of execution of this Agreement. However, access to the Download Sections and the licenses and rights granted herein shall automatically renew for additional one year terms, unless TTR makes the determination to revoke Licensee's access, which shall be at TTR's sole discretion.
  2. Restrictions.
    1. Licensee may only use Licensed Material for editorial coverage.
    2. Licensee may not sublicense, sell, assign, convey or transfer this Agreement or any of its rights under this Agreement.
    3. Licensee may not: (i) sell the Licensed Material, or (ii) use the Licensed Material for any commercial purposes, including but not limited to, the endorsement of a person, product or service; or the creation of on-demand products (i.e. mugs, t-shirts, calendars, and other items). Licensee may not falsely represent, expressly or impliedly, that Licensee is the original creator the Licensed Material.
    4. Licensed Material shall not be incorporated into a logo, trademark or service mark.
    5. Licensee shall ensure that the Content will not be edited in any way that portrays the subject of the Content, the Owner, the Event or Event's trademarks in a defamatory manner or a manner that is not consistent with the original intent of the Content.
    6. Pornographic, defamatory or otherwise unlawful use of Licensed Material is strictly prohibited, whether directly or in context or juxtaposition with specific subject matter.
    7. Licensee must include the following credit adjacent to the Licensed Material as provided by TTR: "[[Event name or Rider name ]/ [Producer's name or Photographer's name/TTR ]
    8. Licensee must not distribute or upload more than 3 (three) minutes in the aggregate of competition video footage/content Licensed Material and no more than 3 (three) minutes in the aggregate of non-competition footage to Lat34, Studio411, Sportnet, BNQT, Grindtv, RIP TV, WMG, WSCN, Sponsorhouse, Colonies, EXPN, Actionprofiles,Snowvision,,,,,, or if suchit video contains footage from:
      1. Burton New Zealand Open
      2. Burton Canadian Open
      3. Burton European Open
      4. Burton US Open
        1. Licensee will provide viewership figures for Licensed Material within 21 days of request.
  3. Copyright and Trademarks. No ownership or copyright in any Licensed Material shall pass to Licensee by the issuance of the license contained in this Agreement. Except as expressly stated in this Agreement, TTR grants Licensee no right or license, express or implied, to the Licensed Material. In connection with the use of "TTR" or any other of TTR's trade names, trademarks, logos or service marks ("Marks"), Licensee acknowledges and agrees that (i) TTR's Marks are and shall remain the sole property of TTR; (ii) nothing in this Agreement shall confer upon Licensee any right of ownership in TTR's Marks; and (iii) Licensee shall not now or in the future contest the validity of TTR's Marks.
  4. Warranty and Limitation of Liability. TTR warrants that it has all necessary rights and authority to enter into and perform this Agreement.
  5. Indemnification. Licensee shall defend, indemnify and hold TTR and its parent, subsidiaries and commonly owned or controlled affiliates and their respective officers, directors and employees harmless from all damages (excluding punitive damages not directly attributable to acts of Licensee), liabilities and expenses (including reasonable attorneys' fees and permitted and authorized costs), arising out of or as a result of claims by third parties relating to Licensee's use of any Licensed Material outside the scope of this Agreement or any other actual or alleged breach by Licensee of this Agreement.
  6. Termination and Revocation. The license contained in this Agreement will terminate automatically without notice from TTR if Licensee fails to comply with any provision of this Agreement or at TTR's sole discretion once the initial one year Agreement term has concluded. Upon termination, Licensee must immediately (i) stop using the Licensed Material; (ii) destroy or, upon the request of TTR, return the Licensed Material to TTR; and (iii) delete and remove the Licensed Material from Licensee's premises, computer systems and storage (electronic or physical). In addition, Licensee's access to the Photo Download Section shall be revoked upon termination or revocation.
  7. Governing Law. Any dispute arising from the present agreement shall be subject to the exclusive jurisdiction of the courts of Innsbruck (Austria). The present agreement is governed by Austrian law. The Austrian IPRG, the European Convention on the Law Applicable to Contractual Obligations as well as the United Nations Convention on Contracts for the International Sale of Goods do not apply.
  8. Severability. If any term, provision, covenant or condition of this Agreement is held to be invalid, void or unenforceable, the remainder hereof shall remain in full force and effect. In lieu thereof there shall be added a provision as similar in terms to such illegal, invalid and unenforceable provision as may be possible and be legal, valid and enforceable.
  9. Entire Agreement. This Agreement contains all the terms of the license agreement and no terms or conditions may be added or deleted unless made in writing and signed by an authorized representative of both parties.
